Terms of Service

These Terms of Service ("Terms") govern your engagement with SilkySoftware ("we," "us," or "our"). We provide custom software development and system administration services. By opening a project ticket or engaging our services, you agree to these terms.

1. Engagement & Scope of Work

Every project begins with a defined scope, outlining the technical architecture, deliverables, and milestones before writing any code. Changes to the scope mid-development will require timeline and budget adjustments.

2. Communication Protocol

Our designated project management workspaces serve as the primary operational channels for technical discussions and support. This eliminates email friction and gives you direct access to the engineers building your product. Email serves as a secondary channel for administrative purposes only.

3. Payments & Milestones

We operate on a milestone-based payment structure, where development phases are strictly tied to agreed-upon invoices. Work on subsequent milestones begins only after the previous invoice is cleared.

4. Intellectual Property & Code Ownership

You are paying for the product, and you own it. Upon full payment of the final invoice for a milestone or project, all intellectual property rights, source code, and associated assets are transferred to you. We retain the right to use non-sensitive project architecture patterns and open-source libraries in future work.

5. Infrastructure & Third-Party Services

We architect systems using modern frameworks, third-party APIs, and scalable hosting environments. We do not assume liability for downtime, data loss, or systemic changes caused by these external infrastructure providers. Any recurring costs for servers, databases, or third-party services remain the sole responsibility of the client.

6. Warranties & Bug Fixes

We deliver tested, production-ready code. If critical bugs strictly related to our codebase are identified within 30 days of a milestone delivery, we fix them at no additional cost. We do not warrant that the software will be entirely error-free or immune to future third-party platform updates, API deprecations, or ecosystem changes.

7. Financial & High-Risk Liabilities

When building systems handling real funds or operating in volatile environments (such as Web3/blockchain), technical debt translates directly to financial risk. While we engineer systems with a security-first approach, blockchain environments are inherently volatile. We are not liable for lost funds, token contract exploits, or network fees resulting from the deployment or use of the software.

8. Termination

Either party may terminate the engagement with written notice. If you terminate the project early, you are billed for the hours worked or the percentage of the current milestone completed. Upon settlement of outstanding balances, we will hand over all in-progress code.
