Terms of service

These Terms of Service ("Terms") define the terms of engagement between you and SilkySoftware ("we," "us," or "our"). We provide custom software engineering and systems administration services. By commissioning a project or opening a ticket with us, you agree to these Terms.
1. Project scoping & deliverables
Every engagement begins with an agreed-upon technical scope outlining architecture, deliverables, and estimated timelines prior to coding. Scope expansions introduced during active development may require timeline extensions and revised milestone costs.
2. Communication channels
We conduct our day-to-day operations through dedicated Discord project channels. This ensures rapid feedback and puts you in direct contact with the developers building your software. Email is reserved for administrative documentation and formal invoices.
3. Milestones & payment terms
We operate strictly on milestone-based billing. Each development phase is tied to an explicit deliverable and invoice. Work on subsequent milestones begins once the invoice for the completed milestone is settled.
4. Intellectual property & full ownership
You are commissioning custom software, and you own the output. Upon full settlement of all project invoices, 100% of the repository, source code, and associated intellectual property rights transfer to you. We retain only the right to reuse generalized, non-confidential architectural patterns and standard open-source tools.
5. Third-party services & hosting
We construct applications using modern cloud hosting, open-source libraries, and third-party APIs. We cannot assume liability for service outages, rate limits, or upstream policy changes imposed by external vendors. All ongoing hosting, database, and licensing fees remain the direct responsibility of the client.
6. Warranty & bug fixes
We deliver thoroughly tested, production-grade code. Should critical bugs originating from our implementation arise within 30 days of delivery, we resolve them promptly at no extra charge. We cannot warrant against issues stemming from post-handover client modifications or future third-party API deprecations.
7. High-risk liabilities & Web3
When building financial systems or deploying to decentralized protocols, software flaws carry direct financial risk. While we design all contracts and payment flows with security as the top priority, blockchain networks present inherent external risks. We cannot be held liable for lost digital assets, protocol exploits, or network transaction fees.
8. Engagement termination
Either party may terminate the engagement with written notice. In the event of early termination, you will be billed strictly for completed work or the prorated portion of the active milestone. All completed code and assets will be handed over once outstanding balances are paid.
